Governance Director (Board of Trustee Member)

The National Road Safety Alliance (NRSA) is a non-profit, multi-sectoral organization committed to promoting road safety, inclusive mobility, behavioral change, and sustainable transport systems across the Philippines. We are expanding our founding Board of Trustees and are looking for visionary leaders to uphold ethical and transparent governance.

The Governance Director is a voting member of the Board of Trustees and Chair of the Governance & Nominations Committee. This role ensures that NRSA’s internal structures, board operations, trustee selection, and compliance mechanisms are effective, ethical, and aligned with national standards.

Key Responsibilities

  • Serve as an active voting Trustee and attend board meetings.
  • Lead the Governance & Nominations Committee and oversee its mandates.
  • Guide policy development, board recruitment, trustee onboarding, and succession planning.
  • Ensure the Board functions with integrity, transparency, and legal compliance.
  • Lead periodic reviews of bylaws, internal policies, and ethical standards.
  • Collaborate with the Ethics & Conflict of Interest Committee on governance concerns.
  • Support board evaluation processes and trustee performance reviews.

Qualifications

  • Proven leadership in board governance, nonprofit management, or policy development.
  • Minimum of 5 years of experience in board-level governance or compliance oversight.
  • Strong knowledge of bylaws, SEC regulations, ethical governance, and organizational development.
  • Excellent communication and leadership skills, with a strong commitment to integrity.
  • Familiarity with Philippine nonprofit sector, road safety, mobility, or civic advocacy is a plus.

Preferred (but not required)

  • Legal, public administration, or nonprofit management background.
  • Prior experience as a board secretary, governance officer, or committee chair.
  • Familiarity with stakeholder engagement, gender inclusivity, or accessibility standards.

Fundraising Culture

At NRSA, every Board Member is expected to contribute to the financial health of the organization. We follow the principle of “Give, Get, or Get Off”, which reflects our values of shared responsibility and sustainability:

  • Give: You may choose to make a voluntary personal donation.
  • Get: You may help raise funds, build partnerships, or bring in other resources.
  • Get Off: You may step down if unable to support in either way.

Terms and Expectations

  • 2-year term as an active Board Trustee (renewable).
  • Attend at least 75% of all Board and committee meetings (virtual/hybrid).
  • Provide leadership on at least one policy or governance initiative annually.
  • Volunteer position (with honorarium or project-based compensation negotiable based on internal policy and subject to NRSA’s financial capacity).

We hope to offer modest per diem or honorarium for:

  • Attending out-of-town events and conferences
  • Leading or representing NRSA in official capacities

As NRSA expands through partnerships and funding, honoraria or performance-based incentives for key volunteer leaders will be considered, subject to financial sustainability and Board review.
